1. Acceptance of terms

By accessing or using the EchoHire website at echohire.in or the EchoHire AI hiring platform (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you are using the Service on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms.

If you do not agree to these Terms, do not access or use the Service.

2. Who we are

SHIVNETRA COMPUTERS PRIVATE LIMITED ("we", "us", or "our") is incorporated in India with its registered office in Gurugram, Haryana. EchoHire is a product of SHIVNETRA COMPUTERS PVT LTD. Contact: contact@echohire.in.

3. Description of the Service

EchoHire provides an AI-powered hiring platform that enables employers to automate resume screening, conduct structured AI video and voice interviews, score candidates against configurable rubrics, and generate shortlist reports. The Service is available via a web application and API integrations.

4. Accounts and eligibility

  • You must be at least 18 years old and capable of forming a binding contract to use the Service.
  • You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
  • You must provide accurate and complete information when registering and keep it up to date.
  • You must notify us immediately at contact@echohire.in if you suspect unauthorised access to your account.

5. Subscriptions and payment

  • Access to paid features requires a subscription. Pricing is available at echohire.in/pricing.
  • Subscriptions are billed in advance on a monthly, quarterly, or annual basis as selected at checkout.
  • All fees are in Indian Rupees (₹) unless otherwise stated and are exclusive of applicable taxes (GST).
  • Fees are non-refundable except as required by law or as expressly stated in a separate Order Form.
  • We reserve the right to change pricing with 30 days' notice. Continued use after the notice period constitutes acceptance of the new pricing.
  • Free trials are subject to the limitations stated at sign-up. We may terminate trials at any time without notice.

6. Permitted use and restrictions

You may use the Service only for lawful hiring and recruitment purposes. You must not:

  • Use the Service to discriminate against candidates on the basis of race, gender, religion, caste, disability, age, or any other protected characteristic under applicable law.
  • Upload or process candidate data without the candidate's knowledge or in violation of applicable data-protection law (including the DPDP Act 2023).
  • Attempt to reverse-engineer, decompile, or extract source code from the Service.
  • Resell, sublicense, or make the Service available to third parties without our written consent.
  • Use the Service to train competing AI models or for competitive intelligence purposes.
  • Transmit malware, spam, or any content that is unlawful, defamatory, or harmful.
  • Interfere with or disrupt the integrity or performance of the Service.

7. Employer responsibilities for candidate data

You, as the employer ("Customer"), are the data controller for all candidate personal data you upload or collect via EchoHire. You are responsible for:

  • Obtaining all necessary consents from candidates before uploading their data.
  • Complying with applicable data-protection law, including the DPDP Act 2023, in your jurisdiction.
  • Providing candidates with accurate information about how their data will be used, including the use of AI-assisted screening and evaluation.
  • Responding to candidate data-subject requests (access, correction, deletion) in a timely manner.

EchoHire acts as a data processor for candidate data on your behalf. Our processing is governed by our Data Processing Agreement (DPA), available on request.

8. Intellectual property

  • EchoHire and its licensors own all intellectual property rights in the Service, including the AI models, software, design, and content.
  • We grant you a limited, non-exclusive, non-transferable licence to access and use the Service solely for your internal hiring purposes during the subscription term.
  • You retain all rights in the content you upload (job descriptions, candidate data). You grant us a licence to process that content to deliver the Service.
  • Feedback, suggestions, or ideas you share with us may be used by EchoHire without restriction or compensation.

9. AI-generated output and hiring decisions

EchoHire's AI features produce scores, rankings, and reports to assist—not replace—human hiring decisions. All hiring decisions remain the sole responsibility of the employer. You must not use AI-generated outputs as the sole basis for any employment decision. EchoHire does not guarantee the accuracy, completeness, or fitness for purpose of any AI-generated output.

10. Confidentiality

Each party agrees to keep the other's confidential information (including pricing, technical architecture, and candidate data) strictly confidential and not to disclose it to third parties without prior written consent, except as required by law or as necessary to deliver the Service.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ECHOHIRE'S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE FEES YOU PAID TO US IN THE THREE (3) MONTHS PRECEDING THE CLAIM. IN NO EVENT SHALL WE BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL.

13. Indemnification

You agree to indemnify and hold harmless EchoHire and its officers, directors, employees, and agents from any claims, damages, or expenses (including reasonable legal fees) arising from: (a) your use of the Service in violation of these Terms; (b) your violation of any applicable law; or (c) your processing of candidate data in breach of applicable data-protection obligations.

14. Term and termination

  • These Terms remain in effect for the duration of your subscription or free trial.
  • You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period.
  • We may suspend or terminate your access immediately if you breach these Terms, fail to pay fees, or if required by law.
  • On termination, your right to use the Service ceases and we will delete your data in accordance with our Privacy Policy and any DPA in place.

15. Governing law and disputes

These Terms are governed by the laws of India. Any dispute arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the courts in Gurugram, Haryana, India. Before initiating legal proceedings, the parties agree to attempt to resolve disputes through good-faith negotiation for at least 30 days.

16. Changes to these Terms

We may update these Terms from time to time. We will notify registered users by email and post the updated Terms on our website at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.

17. Miscellaneous

  • Entire agreement: These Terms, together with any Order Form and our Privacy Policy, constitute the entire agreement between you and EchoHire regarding the Service.
  • Severability: If any provision is found unenforceable, it will be modified to the minimum extent necessary; the remaining provisions remain in full force.
  • Waiver: Failure to enforce any provision of these Terms shall not constitute a waiver of future enforcement.
  • Assignment: You may not assign your rights or obligations under these Terms without our written consent. We may assign our rights in connection with a merger or acquisition.
